A Comparative Study on Independent Directors' Governance and Executive Compensation Contracts:A Social Network Analysis Perspective

We explored the compensation contracting mechanisms of Chinese listed insurance companies from the perspectives of executive compensation sensitivity and stickiness.Then,we used social network analysis methods to empirically testing the relationship between independent directors' network location and executive compensation.The findings showed that Chinese listed insurance companies had established performance-linked executive compensation mechanisms,but there still existed quite obvious executive compensation stickiness.Independent directors could have some governance effects on executive compensation mechanisms no matter for listed insurers or unlisted insurers.This paper enriched the research literature on insurance company's"network and governance",especially on the governance mechanism and compensation.The comparative study on listed insurance company and listed non-insurance company could offer some useful thoughts for perfecting the independent director governance and executive compensation mechanism.
