The Social Embeddedness of Corporate Governance:the Implication from Interlocking Directorates

The paper examines corporate governance from the perspective of social embeddedness,argues for the social embeddedness of corporate governance.The embeddedness not only embodies on micro relational embeddedness and meso structural embeddedness,but also on macro political and cultural embeddedness.On the one hand,based on the data of interlocking directorates in our country's listed companies and CCGI published by Corporate Governance Research Center of Nankai University,the paper examines the micro relational embeddedness and meso structural embeddedness;on the other hand,the paper tests the micro political and cultural embeddedness by virtual of existing literatures on country's difference of corporate governance.
